CONSTITUTION
Article I: Name
The name of this organization shall be Charleston Music Boosters. Motto: Together in Harmony.
Article II: Purpose
The purpose of this organization shall be to provide to the students, Music Departments, Directors, Principals, and the Board of Education the cooperation and support necessary to enhance and facilitate the music programs of the Charleston school system.
Article III: Officers
The officers shall be presented at the annual meeting. The officers, who shall serve a term of one (1) year, shall perform the duties of their respective offices in the best interests of the music programs in the Charleston School System. The officers are: President, Vice President, Treasurer, and Secretary.
Article IV: Committees
The officers shall establish Committees as needed. Each committee shall include at least one (1) officer.
Article V: Membership
Anyone who has interest in supporting the music programs of Charleston Schools is encouraged to become a member of the Charleston Music Boosters. There is no membership fee.
Article VI: Membership Drive
New members will be sought and welcomed throughout the school year.
VII: Booster Meetings
Booster meetings shall be held monthly on a date determined by the officers.
Article VIII: Annual Meetings
A business meeting of the membership shall be called each year, with public notice given at least two weeks prior to the meeting. Everyone present at the meeting shall be entitled to vote for officers and on other motions proposed at the meeting. The nominating committee shall secure consent from the nominees, and the slate shall be present to the membership prior to the election of contested offices will be by secret ballot. Candidates for uncontested offices shall be declared winners by acclamation.
Article IX: Fundraising & Expenditures
Music directors will initiate and supervise fundraising projects for their music groups. Each director’s account will be credited with the net profit raised by his/her music group from any fundraising project. Directors’ expenditures and other expenditures will be paid in accordance with laws 8, 9, and 10 of the by laws. (In addition) the music booster membership may also initiate and supervise fund raisers and the music directors and their respective music groups may participate.
Article X: Amendments
This constitution may be amended by a two‐thirds vote of the members present at the annual meeting. All amendments must be submitted to the membership, in writing, at least one (1) week prior to the annual meeting.
Article XI: Parliamentary Authority
Meetings shall be conducted to the most current edition of Robert’s Rules of Order.
Article XII: Dissolution
In the event that this organization should dissolve, all funds of the treasury at the time of dissolution shall be equally divided between the choral and band programs at each level.
Article XIII: By‐Laws
The Charleston Music Booster by‐laws shall be reviewed every three (3) years. The revisions shall be presented at the annual meeting and voted upon at that time.
BYLAWS
The by‐laws of the Charleston Music Boosters will support the letter and spirit of the Constitution as enacted by the membership. They by‐laws are based upon and subordinate to the Constitution and are intended to give direction, definition, and effect to the purpose of the Constitution.
Article III: Officers
Law 1. The executive board shall consist of the President, Vice President, Treasurer, and Secretary. Ex officio members include teachers and past officers.
Law 2. The duties of the officers shall be as follows:
A. President/Chair 1. Call and preside over board meetings‐establish agenda. 2. Appoint committee chairs. 3. Serve as ex‐officio member of all committees. 4. Vote only in the event of a tie. 5. Sign all contracts and other documents when authorized by the board to do so.
B. Vice President 1. Serve as parliamentarian 2. Be able to assume all duties and responsibilities of the President in his/her absence or disability. 3. Perform other duties in connection with the business of the Music Boosters as requested by the president.
C. Treasurer 1. Receive and deposit all money. 2. Pay all bills. 3. Present a treasurer’s report at all meetings. 4. Prepare financial statement for records and annual meeting. 5. Co‐sign contracts and other documents with the President when required. 6. Perform other duties as requested by the President.
D. Secretary 1. Keep and publish records of all meetings. 2. Have charge of the general correspondence. 3. Collect programs, news releases, and ads for productions and special events. 4. Collect archive materials such as treasurer’s report, minutes, correspondence, etc.
Law 3. The duties of the executive board shall be to transact necessary routine business between regular booster meetings. Meetings of the executive board shall be held as needed and may be conducted by telephone.
Law 4. In an executive board member is not fulfilling these duties and/or responsibilities as defined by the by‐laws, that member may be removed from office by a majority vote of the executive board.
Law 5. The executive board may, at its discretion, fill vacated position within the executive board.
Article IV: Committees
Law 6. Standing committees shall be as follows: A. Nominating The members of the Nominating Committee shall be appointed by the President.
Article V: Membership
Law 7. The privileges of members shall be as follows:
A. Members 1. May vote at meetings. 2. May serve on committees.
Article IX: Expenditures
Law 8. Bills, invoices, and other expense items from each director will be submitted (in writing) to the treasurer for payment. Those expenditures will be paid from that director’s account.
Law 9. Emergency expenditures request may be approved by a majority vote of the executive board. Approved emergency expenditure documentation will be submitted in writing by the requesting individuals no later than the next scheduled meeting. Failure to do this may impede further requests.
Law 10. At any meeting, the membership may approve other requests for funds by directors an/or other members to come from undesignated monies in the music booster accounts.
